1. Who we are and what these Terms cover
“Net”, “we”, “us” and “our” refer to the operator of the Net platform. “You” means the individual or organisation using the Service. The legal entity responsible for operating Net should be identified in the applicable account, invoice or contracting document; the product name alone does not identify a separate incorporated entity.
These Terms apply to the Net website, operator workspaces, customer and tenant portals, and related software features (collectively, the “Service”). By creating an account, accessing a workspace or using the Service, you agree to these Terms. If you use Net for an organisation, you confirm that you have authority to bind that organisation.
2. The Service and its limits
Net provides software tools intended to help property owners, landlords, network operators and community hotspot businesses organise contributions, customer records, packages, payment information and compatible network operations. Features may vary by account, plan, configuration, location and release stage.
Net is a software platform, not an internet service provider, landlord, bank, payment institution, telecommunications carrier or guarantor of internet availability. Unless a separate written agreement says otherwise, Net does not supply the underlying internet connection, own your router, or determine the quality of a third-party network.
Router control depends on compatible equipment, supported software versions, correct configuration and a secure connection. Do not assume that access will be activated, suspended, throttled or disconnected automatically unless that particular integration has been configured and tested. You remain responsible for operating your network safely and lawfully.
3. Accounts, eligibility and security
You must provide accurate, current information, keep your login credentials confidential, and promptly notify us of suspected unauthorised access. You are responsible for activity performed through your account except to the extent caused by our breach of a legal duty.
Do not impersonate another person, create accounts using information you are not authorised to use, share access in a way that compromises security, or attempt to bypass role-based permissions. We may require verification or additional information where reasonably necessary for security, fraud prevention or legal compliance.
4. Operator responsibilities and customer relationships
Operators are responsible for the services they sell or provide to their tenants, residents and hotspot customers, including internet availability, package descriptions, prices, contribution schedules, notices, support, lawful access controls and customer complaints. Operators must communicate their own terms and refund rules to their customers before payment.
You must have a lawful basis and all necessary permissions to upload or manage information about tenants, customers, employees, property occupants and other individuals. You must not use Net to discriminate unlawfully, conduct harassment, intercept communications unlawfully, or collect data unrelated to a legitimate purpose.
5. Plans, fees, payments and taxes
Any Net subscription, platform fee or paid feature will be described at the point of purchase or in a separate order. You agree to pay the fees disclosed for your selected plan. Unless stated otherwise, fees are payable in the currency and on the schedule shown at checkout or on the relevant invoice. Taxes, levies and payment-provider charges will be treated as described at checkout and under applicable law.
Where an operator sets the price for an internet contribution or hotspot package, that price is the operator’s price, not a price set by Net. Net may facilitate payment through third-party providers such as Paystack or Flutterwave; those providers’ terms and processing arrangements also apply. A payment status shown by Net is based on the information available to the application and should be reconciled with provider records where necessary.
Do not submit card details, passwords, payment secrets or router administrator credentials through an unauthorised form or to another user. You must not misrepresent a payment, manipulate transaction records or use the Service for fraud, money laundering or other unlawful activity.
6. Acceptable use
You must comply with applicable laws, third-party service terms and network policies. You must not: (a) probe, disrupt or gain unauthorised access to systems or networks; (b) upload malicious code; (c) interfere with another customer’s workspace or data; (d) use the Service to facilitate unlawful conduct; (e) reverse engineer or abuse the Service except where applicable law permits; or (f) overload, scrape or automate access in a manner that harms the Service.
7. Data and privacy
Our Privacy Policy explains how Net handles personal data. Operators are generally responsible for determining why they collect tenant and customer information and for providing appropriate notices to those individuals. Depending on the feature and relationship, Net may process that information on an operator’s instructions and may also process account, security, billing and service data for its own legitimate operational purposes.
You must not upload personal data unless you are authorised to do so. You must promptly respond to privacy requests relating to data for which you are responsible and cooperate with reasonable security and compliance measures.
8. Availability, changes and support
We may update, improve, suspend or discontinue features, including where required for security, maintenance, legal compliance or third-party compatibility. We will take reasonable steps to avoid unnecessary disruption, but we do not promise uninterrupted or error-free availability. We may publish support or maintenance information through the Service or by email where appropriate.
You are responsible for maintaining suitable internet access, compatible devices, secure router configuration, backups of records you need, and independent checks for critical financial or access-control decisions.
9. Intellectual property
Net and its licensors retain all rights in the Service, software, branding, design and related materials, except for content and data supplied by you or rights expressly granted to you. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business or personal management purposes during your permitted access.
You retain rights in the data you submit. You grant us permission to host, process, transmit and display that data only as reasonably necessary to operate, secure, support and improve the Service and comply with law.
10. Third-party services
The Service may rely on third parties, including payment processors, hosting and email infrastructure, internet providers and router or network equipment vendors. Those services are governed by their own terms and availability. We are not responsible for a third party’s independent acts or outages, except where responsibility cannot lawfully be excluded or where our own conduct caused the relevant loss.
11. Suspension and termination
You may stop using the Service and may request account closure through the available account settings or by contacting us. We may restrict or suspend access where reasonably necessary to protect users, investigate suspected fraud or abuse, address a security incident, collect overdue fees, comply with law or enforce these Terms. Where practicable and lawful, we will provide notice and an opportunity to remedy the issue.
On termination, your permission to use the Service ends. Data may remain for a limited period where needed for lawful retention, dispute resolution, security, accounting or backup purposes, as described in the Privacy Policy. Termination does not remove payment obligations already incurred or rights that accrued before termination.
12. Disclaimers and liability
To the extent permitted by law, the Service is provided on an “as available” basis. We do not warrant that every feature will meet every requirement, that every router or payment provider will be compatible, or that records will replace your own accounting, legal, tax or operational controls. Nothing in these Terms excludes a warranty, remedy or liability that applicable law does not permit to be excluded.
To the extent permitted by law, neither party is liable to the other for indirect or consequential loss, loss of anticipated profits, or loss of business opportunity arising from use of the Service. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury where such limitation is prohibited, breach of non-excludable statutory rights, or any other liability that cannot lawfully be limited. Subject to those exceptions and applicable law, our aggregate liability arising from the Service will not exceed the Net fees paid by you to us for the affected Service during the three months preceding the event giving rise to the claim.
13. Indemnity
To the extent permitted by law, you agree to be responsible for third-party claims, losses and reasonable costs arising from your unlawful use of the Service, your breach of these Terms, your network or internet services, or your failure to obtain required rights or permissions for data you submit. This does not apply to the extent a claim was caused by our own breach, negligence or unlawful conduct.
14. Changes to these Terms
We may revise these Terms to reflect changes in the Service, law or business operations. We will update the date above and provide notice of material changes where reasonably practicable. Changes apply prospectively from the stated effective date and do not remove rights that cannot lawfully be removed. Continued use after the effective date constitutes acceptance to the extent permitted by law; if you do not agree, stop using the affected Service.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without excluding any mandatory consumer protection or data protection rights that apply to you. The parties will first attempt in good faith to resolve a dispute through written notice and discussion. If it cannot be resolved, either party may refer it to a court of competent jurisdiction in Nigeria, subject to any mandatory right to use another forum.
16. General and contact
If a provision is found unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our prior written consent, except as permitted by law. These Terms and any applicable order or plan terms form the agreement concerning the Service.
